Installation services provide the customer with training based on an overview of product operation and proper handling. Quantum`s StorageCare Installation Services® include: 1. Resale of the Service: Except with Quantum`s written permission, Customer may not resell any part of the Service to any third party; Provided, however, that the Customer may resell the web hosting to third parties through the Services with the prior written consent of Quantum. Customer is responsible for all software and content displayed and distributed by Customer or Customer`s web hosting customers, as applicable. Combined with access to Quantum support professionals available to all users who comply with equipment service contracts, this model reduces the time it takes to resolve and repair issues. Quantum is committed to providing the kind of proactive and reactive multi-vendor support required in today`s heterogeneous environments. When technical challenges arise, we immediately take responsibility for the problem and work with your other suppliers as needed to quickly find the right solution. E-Rate Customers: This paragraph applies only to educational institutions or libraries claiming reimbursement from the Federal Universal Service Fund. The client must contact the Department of Schools and Libraries, “SLD”, annually for electronic rate financing, and the client must designate Quantum as the service provider.
Customer must also provide Quantum with all documents provided in response to all inquiries, requests and requests as part of the Program Integrity Assurance (PIA) process within three (3) business days of receipt and/or delivery. The Client also acknowledges that there may be increases and decreases in funding for LTC services. If Customer is denied funding from LTC for any reason, Quantum may choose to lower the level of services provided to Customer. If full electronic rate financing is not received within 6 months of the application date or until the application window opens for the following funding year, Quantum may terminate this Agreement without further liability to Quantum or the Customer. In addition, if full E-Rate funding has not been received and Quantum decides to terminate the Services during the Term of the Agreement, Customer may also be subject to a termination obligation. Customer acknowledges and agrees that the reliability, availability and performance of any data or services accessible via the Internet or other services connected or connected to the Service are beyond Quantum`s control and are in no way guaranteed or approved by Quantum, Quantum`s subcontractors or suppliers. Customer also agrees to provide Quantum with the necessary access and support to Quantum to implement, maintain and provide the Services. Quantum may, in Quantum`s sole discretion, take any action Quantum deems appropriate to maintain the high quality of Quantum`s service and to protect others and ourselves.
In addition, the Customer agrees that the Customer`s use of the Service and the Internet is solely at the Customer`s own risk. 13. Default: If Customer fails to comply with any material provision of this Agreement, including, but not limited to, non-payment as specified, Quantum may, upon Customer`s notice, take one or more of the following actions as required by the tariff or applicable law: (i) termination of the Service, after which all amounts due and payable become due and payable immediately; (ii) suspend all or part of the Services and/or (iii) seek other remedies, including reasonable attorneys` fees, as required by law or in equity, including applicable termination liabilities. 22. Third Party Beneficiaries. Customer agrees that all of Quantum`s rights, limitations and exclusions of liability set forth in this Agreement also apply to and may be exercised or enforced by Quantum`s licensors, vendors, subcontractors and third-party suppliers. Customer agrees not to use or permit others to use the Service in a manner that (i) violates any applicable law or provision of this Agreement, (ii) violates the rights of others, or (iii) interferes with users, services, or devices and software of the Quantum Network or other networks. By way of example, and without limitation, not to distribute unsolicited advertising, chain letters or other unsolicited mass electronic mailings (p.B spam). spread worms, destructive programs or denial-of-service attacks or viruses; use a false identity; attempt to gain unauthorized access to other computers, data, or any location or network; distribute or store child pornography; distribute obscene or defamatory material over the Internet; or infringe any copyright, trademark or other intellectual property rights. Customer further agrees to comply with U.S.
export laws with respect to the transmission of technical data and other regulated documents through the Service. Quantum reserves the right, in Quantum`s sole discretion, to restrict, suspend or terminate the Customer Service (or any part thereof) with or without notice if customer`s use of the Service or any person using it, in Quantum`s sole discretion, violates this Agreement, is illegal or Quantum`s network or service; Suppliers, subcontractors, other users or employees, including, but not limited to, any prohibited use or generating excessive Internet traffic or emails. .
